Terms of Service

1. Agreement

These Terms of Service (the “Terms”) are a legal agreement between you (“you,” “Customer,” or “Creator”) and Prosimian Labs LLC, a Delaware limited liability company (“Prosimian Labs,” “we,” or “us”). By creating a StackPass account or using the StackPass service (the “Service”), you agree to these Terms and to our Privacy Policy.

If you're using StackPass on behalf of a business, you represent that you have the authority to bind that business to these Terms. References to “you” in that case mean the business.

2. What StackPass does

StackPass connects a Substack writer's paid subscriber list — accessed through the writer's own Stripe account via Stripe Connect — with a Discord server the writer operates. When a subscriber pays, StackPass assigns a Discord role; when they cancel, StackPass removes it.

We are not affiliated with Substack, Inc. or Discord Inc. We do not control their services. Your use of Substack and Discord is governed by their respective terms, which you're responsible for following.

3. Your account

You're responsible for keeping your account credentials secure. You're responsible for everything that happens under your account, including the actions of anyone you share access with. Notify us at hello@getstackpass.com immediately if you suspect unauthorized access.

You must be at least 18 years old to create a StackPass account. You must provide accurate information and keep it up to date.

4. Pricing, billing & auto-upgrade

4.1 Subscription plans

StackPass is sold on monthly and annual subscription plans. Current pricing is listed on getstackpass.com/#pricing. We may change pricing by giving you at least 30 days' notice via email; any change takes effect at the start of your next billing period.

4.2 Free trial

New subscriptions include a 14-day free trial. A valid payment method is required to start a trial. If you don't cancel before the trial ends, you'll be automatically charged the plan price and your subscription will begin.

4.3 Auto-upgrade

If your active paid-subscriber count exceeds your current plan's limit for three consecutive days, we'll automatically upgrade you to the next tier after giving you at least 48 hours' written notice by email. You can:

  • Opt out of auto-upgrade at any time from your billing settings. If you opt out, new subscriber links will be paused (without affecting existing subscribers' roles) until you upgrade manually.
  • Cancel before the upgrade takes effect. Mid-cycle upgrades are prorated — you're only charged the difference for the days remaining in your current billing cycle.

4.4 Failed payments

If a charge fails, Stripe will retry per its standard schedule over approximately 21 days. We'll email you at each retry. If all retries fail, your subscription will be canceled. Existing subscribers' Discord roles will not be mass-revoked, but new role grants and sync operations will stop until you resume service.

4.5 Taxes

Prices are exclusive of taxes. You're responsible for any sales, use, VAT, GST, or similar taxes that apply to your subscription, except for taxes based on our net income.

5. Refund & cancellation policy

14-day money-back guarantee. You can request a full refund of your first paid subscription charge within 14 days of the charge by emailing hello@getstackpass.com. No questions asked. One refund per customer.

After 14 days,subscription payments are non-refundable, except where required by applicable law. You can cancel at any time from your billing settings; cancellation stops future charges but doesn't generate a pro-rated refund of the current period.

Annual plans.If you prepaid for an annual plan and cancel more than 14 days in, you retain access through the end of the paid period. We'll consider prorated refunds on a case-by-case basis — email us and we'll be fair.

Effect of cancellation on your subscribers. When you cancel StackPass, we stop syncing roles on your Discord server. We do not revoke Discord roles that were previously granted. Your existing subscribers will keep whatever access they already had until you (or your Discord server settings) change it.

6. Acceptable use

You agree not to use StackPass to:

  • Violate the terms of service of Substack, Discord, Stripe, or any other third party whose API we interact with.
  • Distribute content that's illegal in your jurisdiction, infringes intellectual property, or targets minors in harmful ways.
  • Send spam, phish, or attempt to access accounts that aren't yours.
  • Reverse-engineer, probe, or attempt to disrupt the Service or the infrastructure of our sub-processors.
  • Resell or sublicense access to StackPass without a written agreement from us.

We may suspend or terminate accounts that violate these rules without a refund.

7. Intellectual property

StackPass, the StackPass name, logo, and all Service content and code belong to Prosimian Labs LLC. These Terms don't grant you any ownership rights — only a non-transferable license to use the Service while your subscription is active and in good standing.

Content you provide (your Substack URL, Discord server ID, tier mappings, etc.) remains yours. You grant us a non-exclusive, worldwide license to use, store, and transmit that content solely to operate the Service.

8. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or that every role sync will happen instantly.

9. Limitation of liability

To the maximum extent permitted by law, Prosimian Labs' aggregate liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid us in the 12 months before the claim and (b) $100 USD.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost subscribers, or loss of goodwill, even if we've been advised of the possibility.

10. Indemnification

You agree to indemnify and hold harmless Prosimian Labs LLC, its officers, and employees from any claim arising out of your violation of these Terms, your misuse of the Service, or your infringement of any third party's rights.

11. Termination

You can cancel your subscription at any time from your billing settings. We can suspend or terminate your account with or without notice if you breach these Terms or if required by law. Sections that by their nature should survive termination (payment obligations, IP, disclaimers, liability, indemnity, dispute resolution) will survive.

12. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to the exclusive jurisdiction of those courts.

If you're a consumer in the EU, UK, or a jurisdiction with mandatory consumer protection law, nothing in this section limits your right to bring a claim in your local courts.

13. Changes to these Terms

We may update these Terms occasionally. Material changes will be announced by email to active customers at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
